Position Summary:
The Paralegal is a key member of the legal department, providing high-level, proactive support to the General Counsel and executive leadership team. This role is responsible for managing a wide range of legal functions including corporate governance, contract management, regulatory compliance, litigation coordination, and transactional support. The Paralegal assists with case planning, development, and execution of legal strategies by conducting legal research, interviewing clients, gathering facts, retrieving and organizing technical information, and drafting and analyzing legal documents. This position involves handling confidential and time-sensitive information, supporting business leaders with legal and contractual guidance, and collaborating with outside counsel. The ideal candidate possesses a strong understanding of legal processes, superior organizational skills, and the ability to work effectively in a fast-paced, high-stakes environment. This is a trusted role that directly contributes to risk mitigation, operational efficiency, and the overall success of the organization.
Essential Duties and Responsibilities:
- Supports formation, maintenance, and dissolution of corporate entities and prepares related filings, including annual reports, DBAs, and state registrations.
- Assists with preparation and maintenance of corporate governance documents such as board resolutions, consents, meeting minutes, and organizational charts.
- Drafts, reviews, and organizes a variety of contracts including NDAs, vendor agreements, service contracts, and engagement letters.
- Manages contract lifecycle tracking systems and maintains legal files, databases, and version control of critical documents.
- Conducts legal and factual research and prepares summaries or memos for attorney review and internal use.
- Coordinates with outside counsel on legal matters and litigation tracking, and assists with review of legal invoices and budget reporting.
- Supports due diligence processes related to mergers, acquisitions, and other strategic transactions by organizing, summarizing, and preparing key documents.
- Assists with regulatory compliance tracking and ensures timely submission of licenses, permits, and certifications.
- Responds to internal legal and compliance-related inquiries and escalates matters to the General Counsel as needed.
- Prepares and edits legal correspondence, memoranda, and internal reports for attorney or executive signature.
- Performs other duties as assigned.

Education and/or Experience
A bachelor’s degree in paralegal studies, Legal Studies, Business Administration, or a related field is required, with a Paralegal Certificate from an ABA-approved program strongly preferred. The ideal candidate will have a minimum of five years of experience working as a paralegal in a corporate legal department or law firm, with direct involvement in corporate governance, contract management, transactions, and regulatory compliance. Experience handling confidential information, supporting attorneys on complex legal matters, and managing multiple priorities in a fast-paced, deadline-driven environment is essential. Familiarity with entity management, lifecycle contract systems, and legal documentation processes is highly valued.
Language/Interpersonal/Leadership Skills
Ability to read and interpret documents such as safety rules, operating and maintenance instructions, and procedure manuals; Ability to express opinions and ideas, both verbally and in writing, in a clear concise manner; Ability to listen.
Mathematical Skills
Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals.
Computer Skills
To perform this job successfully, an individual should have proficient computer skills and knowledge of Microsoft Office 365 tools including but not limited to Outlook, Word, Excel, Teams, PowerPoint.
