We are currently seeking a Counsel, Mergers & Acquisitions. In this role, you will drive successful acquisition activities to build long-term stockholder value, assist in securities law filings and compliance, and will perform other legal work as needed.

Responsibilities:  

  • Work closely with the corporate development team to manage M&A transactions on tight deadlines. Drafting and editing M&A documentation through the deal lifecycle, including confidentiality agreements, term sheets, commitment letters, asset and stock purchase and sale agreements, loan agreements, security documentation, joint venture, and other transactional agreements. For small, less complex deals, this role would independently handle all or a majority of the transaction legal matters with some support from other internal legal team members.
  • Leading the legal support for pre-transaction activities, including advising on deal strategy, process, impact, risk, cost, structure, antitrust, and other aspects relating to potential divestitures, acquisitions, joint ventures, investments and other transactions.
  • Lead legal due diligence and legal post-closing integration related activities.
  • Manage transaction legal processes and drive continuous process improvements. Develop standard procedures and forms useful for guiding and serving the clients in M&A matters.
  • Provide counsel in the areas of capital markets transactions, including securities and debt offerings.
  • Managing all areas related to the company’s securities laws matters and related compliance, including Securities Act and Exchange Act matters.
  • Preparing and reviewing SEC filings, including registration statements, Forms 10-K, 10-Q and 8-K, proxy statements, including shareholder proposals and proxy solicitations, and Section 16 reporting, including Forms 3, 4 and 5.
  • Assist in administration of corporate policies and procedures to ensure continuing compliance with SEC and NYSE rules and regulations and support other internal compliance functions.
  • Provide legal advice and support with respect to subsidiary structure and legal entity management and related tax considerations.
  • General legal advice in the areas of compliance, contracts, corporate governance, employment law and intellectual property as needed from time to time.

Qualifications: 

  • J.D. from an accredited law school with exceptional academic credentials
  • Licensed to practice law in Minnesota
  • At least 3 years of experience, including training at a leading national law firm or comparable in-house experience as an M&A attorney, with additional experience in general corporate, securities, and corporate governance.
