General Function:
Responsible for legislative affairs, policy development, and legal compliance for the bank, as well as credit, market, and operational risk management activities. Work with chief officers to maintain an overall view of the bank’s compliance risk management picture, identifying risks and their causes. Provide direct supervision for all Compliance, Bank Secrecy Act (BSA), Audit, National Mortgage Licensing System (NMLS), and Enterprise Risk Management (ERM) functions. Develop a program to train bank personnel about the applicable laws and regulations and their responsibilities for compliance.
Primary Responsibilities:
Compliance Administration
- Serve as the Bank’s Chief Compliance Officer and oversee the Compliance function, as well as the hiring, training, development, and management of compliance, BSA, audit, risk, and other assigned staff.
- Research regulatory reference materials and obtain advice from regulatory agency staff, legal counsel, or industry groups/professionals. Stay abreast of federal and state laws and regulations pertaining to the banking industry and develop a library of compliance resources.
- Administer appropriate information to staff related to compliance and other related subjects. Provide informational assistance and guidance for compliance efforts to lenders, branch personnel, account representatives, management, examiners, auditors, etc. to ensure all are aware of and perform their duties in compliance with appropriate laws and regulations.
- Develop the Bank’s Community Reinvestment Act (CRA) Program and maintain the public comment file as required by the CRA. Assist and advise Team Members regarding CRA compliance efforts.
- Develop systems for tracking, and oversee the collection and reporting of appropriate compliance information.
- Assess and oversee the Bank’s adherence to federal, state, and internal Bank Secrecy Act (BSA) policies and procedures for confidentiality, cash transactions, due diligence, compliance, etc. Ensure that BSA staff member(s) maintain the BSA program to the highest standards of compliance.
- Manage the Bank’s registration through the National Mortgage Licensing System (NMLS); ensure that loan originators are registered and paid timely. Conduct related training for new hires and for information updates as necessary.
- Participate in the decision process for reporting suspicious activity as needed.
- Review advertisements and marketing material for compliance, prior to release, as required.
Risk Management

- Oversee the development, maintenance, and continual assessment and re-assessment of the Bank’s Enterprise Risk Management (ERM) functions. Create and present periodic reports to ensure that executive management and the Board of Directors are kept informed of necessary information, risk, situations, and solutions.
- Oversee loan reviews and assist in the decision-making process for assigning loan grades/classifications.
- Serve on committees as required for compliance and risk management, credit, assets, IT steering, etc.
Legislative Administration
- Serve as the bank’s legislative resource and representative by keeping abreast of all current political issues and proposals affecting the Bank.
- Interpret and disseminate information on regulatory matters, and communicate current state of legislative issues to Executive Management and the Board, recommending the bank’s position.
- Ensure that the bank’s policies, forms, and contracts are accurate, current and in compliance with federal and state regulations. Review and update policies as laws change.
- Prepare reports and make presentations to Board of Directors on the status of appropriate legislative, compliance, audit, credit, and risk information.
- Assist with regulatory and compliance training when necessary.
Audit and Regulatory Administration
- Serve as primary liaison for all regulatory activities, as well as audit and consulting engagements. Ensure that audits and exams are coordinated, managed, and communicated appropriately and timely, and that reports to federal and state regulatory agencies are complete and filed on a timely basis.
- Develop and implement an internal audit plan to prepare the Bank for audit and compliance issues; prepare reports and present information regarding internal audit results.
- Work with external audit agencies to ensure that annual financial statement audit engagements are performed in a timely manner and in conformance with established engagement guidelines.
General Bank-Wide Compliance

- Diligently protect confidential information, and assist the Bank in ensuring that all confidential and sensitive information is handled appropriately.
- Maintain an active awareness and understanding of policies, procedures, designated authorities, regulations, and laws, including but not limited to, the Bank Secrecy Act, Anti-Money Laundering Act, etc. Follow these at all times.
- Communicate openly with supervisors and other management about policies, procedures, work conduct, and job functions. Ask questions to clarify any uncertainty in issues.
- Address and report suspected violations of policy, procedure, Bank Secrecy Act, Anti-Money Laundering Act, and other laws and guidelines, as outlined in the Code of Conduct. Reported information will be kept confidential.
- Participate in training sessions and policy updates as necessary. Assist with coordination of scheduling as appropriate.

Qualification Requirements:
- Bachelor's Degree in Business, Finance, or related field, or equivalent education or experience
- Ability to interpret regulations and laws and disseminate information.
- Ability to organize and prioritize work and meet deadlines.
- 12-15 years of banking and/or regulatory experience
- Knowledge of regulations within the banking industry
- Excellent interpersonal, organizational, written, and verbal communication skills
Preferred Qualifications:
- Extensive experience in compliance, audit, IT, BSA, Enterprise Risk Management, Vendor Management, and loan review
- Experience in commercial lending
